$45 Million Sale of Broker-Dealer

Investacorp, Inc.

Representation of Investacorp, Inc., a privately held FINRA broker-dealer, and its affiliated registered investment advisor, in the sale of all capital stock to Ladenburg Thalmann Financial Services Inc. (AMEX: LTS) for an aggregate purchase price of over $45 million. We handled all aspects of the transaction, including tax, regulatory, overall structuring, and ancillary agreements and documents, as well as the preparation, negotiation, and documentation of the stock purchase agreement. We also represented the CEO regarding his continuing employment arrangement and related stock options. The transaction was complicated by the multitude of regulations applicable to the three lines of businesses in which Investacorp's nine subsidiary companies are involved.
